License agreement for the Handover app

Version dated October 28, 2026.

1. Offer. This document is a public offer by the individual entrepreneur GLOMOS SERVICE to enter into a license agreement on the terms below.

2. Parties. Licensor: GLOMOS SERVICE, individual entrepreneur registered in the Republic of Kazakhstan, address: 47/2 Aktyubinskaya St., office 34, Aktobe, Aktobe Region, Republic of Kazakhstan, e-mail: info@glomos.kz. Customer: a company or sole trader that uses a Bitrix24 portal for its business. The Customer's authorised representative, the portal administrator, installs and runs the App on the Customer's behalf. The App is not intended for personal, family or household use.

3. Acceptance. Installing the App on a portal from the Bitrix24 Marketplace, or running the App on a portal for the first time, accepts this offer. The version in force on the date of acceptance (shown at the top) applies, as amended by changes that take effect under section 16. The current version is published at https://handover.glomos.kz/en/license/; earlier versions are available on request at info@glomos.kz.

4. Subject. The Handover app (Russian name «Подхват») is a computer program delivered as an HTML/JavaScript application for cloud Bitrix24. Its functions are described at https://handover.glomos.kz/en/ and in its Bitrix24 Marketplace listing. The Licensor grants the Customer a simple, non-exclusive license to use the App. No exclusive rights are transferred.

5. Permitted use. The Customer may load the App, store it in device memory and run it in the browsers of its authorised administrators to use the App's functions on the portal where it is installed, including technical copies needed for that use. Use by the Customer's authorised representatives counts as use by the Customer. A separate agreement is concluded for each additional portal by installing the App on that portal.

6. Territory. Worldwide, subject to applicable law and to the availability of the Bitrix24 Marketplace.

7. Term. The license runs from acceptance until the App is removed from the portal. Where the Marketplace is offered by subscription, the App is available while the Customer's subscription is active under the Marketplace rules.

8. Fees. No separate fee is payable to the Licensor under this agreement. Whether a Marketplace subscription is required depends on the terms of the regional catalog. Where it is, the Customer pays the Marketplace operator on its terms, and the Licensor is paid by the operator under a separate agreement.

9. Restrictions. The Customer may not distribute the App or its code, grant rights in it to third parties, use it beyond this license or circumvent its limits. These restrictions do not cover technical copies allowed by section 5 or acts that applicable law does not allow a contract to restrict.

10. What the App does and Customer duties. On the administrator's command the App changes portal data: workgroup owners, task roles, responsible persons in CRM, department heads; it copies personal Drive files; after confirmation it can block an employee's account. The App does not back up the portal and has no automatic undo. Individual items can be transferred again with the same App, but this does not restore the portal's original state or reverse all consequences of earlier operations. Before running it, the Customer checks the selected employees and the scope of the transfer, ensures a lawful basis for processing data of employees and other people, and is responsible for the access rights the receiving employee gets. Testing on a few records with the word filter first is recommended.

11. Limitations. The App does not move calendars, live open line chats, email, group chats, webhooks, robots or templates; this is stated in the listing and in the App. The App depends on the capabilities and limits of the Bitrix24 programming interface, access rights and the state of the data. Individual operations may fail; the App reports them in its details and report.

12. Warranties. To the extent permitted by applicable law, the App is provided «as is» and «as available». The Licensor takes steps so that the App works as described but does not warrant error-free or uninterrupted operation or compatibility with future changes to Bitrix24.

13. Liability. Each party is liable for breach of this agreement in accordance with applicable law. The Licensor is not liable for the consequences of incorrect choices made by the Customer, acts of third parties, or Bitrix24 failures and limits. Nothing in this agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for intentional misconduct.

14. Personal data. See the Privacy Policy: https://handover.glomos.kz/en/privacy/.

15. Support. Support is provided through the channels in the listing: e-mail info@glomos.kz, website https://handover.glomos.kz, phone and WhatsApp +7 700 805 05 05, Monday to Friday, 9:00–18:00 Astana time (UTC+5). Response time: one business day. Support covers the App only.

16. Changes. The Licensor may update the App and these terms. A new version is published at the address in section 3. It applies to new acceptances from publication and to existing Customers 30 days after publication. Changes have no retroactive effect. A Customer who does not agree may end the agreement by removing the App before the changes take effect. Terms that introduce a fee under this agreement or processing of portal data by the Licensor apply only after the Customer's separate consent. Removing the App does not end claims that arose before removal.

17. Governing law and disputes. This agreement is governed by the substantive law of the Republic of Kazakhstan. This choice does not exclude mandatory laws that apply regardless of the parties' choice. Disputes are first settled by negotiation; a claim must be answered within 30 calendar days. Unresolved disputes go to the competent court of the Republic of Kazakhstan at the Licensor's location, where applicable procedural rules allow such an agreement. This does not limit the right of data subjects to go to a court or supervisory authority.
